These Terms and Conditions ("Terms") form a binding agreement between you and SHYAMGIRDHAR ENTERPRISE PRIVATE LIMITED ("Company", "we", "us" or "our"), a private limited company incorporated under the Companies Act, 2013 (CIN U26990GJ2022PTC134500) with its registered office at 1st Floor, 5 Shyam Complex, Narayan Nagar, NH No. 8, Bapunagar, Ahmedabad, Gujarat 382350. By accessing or using our website, submitting an inquiry or entering into any commercial engagement with us, you agree to be bound by these Terms. If you do not agree, please discontinue use of our website and services.
2. Nature of business
We are engaged in the trading, distribution and project supply of cement — including Ordinary Portland Cement (OPC), Portland Pozzolana Cement (PPC), Portland Slag Cement (PSC) and composite cement — supplied through commercial arrangements with leading Indian cement manufacturers. We operate as an independent trader and supplier, not as the manufacturer of any cement brand. All transactions are strictly business-to-business (B2B).
3. Brand & trademark disclaimer
All cement brand names, logos and trademarks referenced on this website — including Ambuja, ACC, Adani, Hathi, Sidhee, JK Lakshmi, Shree, Bangur, Nuvoco, JK Cement and Wonder — belong to their respective owners. We are not the manufacturer of these brands and do not claim to be an exclusive authorised dealer of any brand unless such authorisation is granted under a separate written agreement with the manufacturer. Brand references only identify the products we trade in.
4. Use of website
You agree to use our website only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of this website by, any third party. You shall not:
- Use the website to transmit any unlawful, harassing, defamatory, abusive or threatening content.
- Attempt to gain unauthorised access to any part of the website, server or related systems.
- Use any automated means to copy content in bulk for commercial reuse without our written consent.
- Use the website in any way that could damage, disable, overburden or impair it.
5. Inquiries, quotations & orders
Inquiries submitted through our website, telephone, email or WhatsApp are requests for a commercial proposal and do not by themselves form a binding contract. A supply contract is formed only on mutual written confirmation of the order details — brand, grade, quantity, price, delivery location, payment terms and dispatch schedule — through a purchase order, sales order acknowledgement or supply agreement.
6. Pricing & payment
- Prices we quote are exclusive of applicable Goods and Services Tax (GST) and other statutory levies unless stated otherwise.
- Prices depend on manufacturer pricing, transport costs, market conditions and government taxation, and are valid only for the period stated in the formal quotation.
- Payment terms are as agreed in the supply contract or invoice. Credit is not implied; any credit facility is extended only on formal written approval after commercial assessment.
- Late payments may attract interest at the rate specified in the supply contract or as permitted by law.
7. Delivery & risk
- Delivery timelines are best estimates based on manufacturer dispatch availability and transport logistics. We make every reasonable effort to meet committed schedules, but dates are not guaranteed unless stated in writing.
- Delivery is complete when the consignment reaches the agreed location and is acknowledged on the transporter LR, weighbridge slip or delivery challan.
- Risk in the goods passes to the buyer at the point of delivery defined in the supply contract or invoice.
- The buyer is responsible for unloading at site unless contracted otherwise.
8. Quality & warranties
All cement we supply is sourced from established manufacturers and conforms to the relevant Bureau of Indian Standards (BIS) specifications. Product warranties are those provided by the original manufacturer; as a trading and distribution entity we do not give independent product warranties beyond those.
Quality complaints must be raised in writing within seven (7) days of delivery, with batch information, manufacturer test certificate references and supporting evidence. Claims raised later or without adequate documentation may not be entertained.
9. Returns & cancellations
- Cement is a moisture-sensitive industrial commodity and is not returnable once dispatched, except for verified manufacturer-side quality defects.
- Orders may be cancelled only before dispatch confirmation. Cancellations after dispatch may attract logistics charges, manufacturer penalties and restocking fees.
10. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, fire, flood, pandemic, government action, regulatory restrictions, manufacturer plant shutdowns, transport strikes, fuel shortages, riots or war.
11. Limitation of liability
To the maximum extent permitted by law, SHYAMGIRDHAR ENTERPRISE PRIVATE LIMITED, its directors, officers, employees and affiliates shall not be liable for any indirect, incidental, consequential, special or punitive damages — including loss of profit, revenue, goodwill or project delays — arising from the use of our website, services or supplied goods. Our aggregate liability for any direct loss shall not exceed the value of the specific consignment or transaction giving rise to the claim.
12. Intellectual property
All content on this website — text, graphics, logos, layout and code — belongs to SHYAMGIRDHAR ENTERPRISE PRIVATE LIMITED or its content suppliers and is protected by Indian and international copyright and intellectual property laws. Manufacturers' brand names and logos remain their exclusive property and are used only to describe the products we trade in. No content may be reproduced, distributed or used commercially without our prior written consent.
13. Confidentiality
Both parties will keep confidential any non-public commercial, financial or technical information shared in the course of business, except as needed to perform the supply contract or as required by law.
14. Indemnification
You agree to indemnify and hold harmless SHYAMGIRDHAR ENTERPRISE PRIVATE LIMITED and its directors, officers, employees and agents against any claims, damages, liabilities, losses, costs or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of our website or services, or violation of any law.
15. Termination
We may suspend or terminate your access to our website or services without notice for any breach of these Terms. Obligations under existing supply contracts continue to apply after termination.
16. Governing law & jurisdiction
These Terms are governed by the laws of India. Any dispute arising from these Terms or any commercial engagement with us is subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat. The parties may, by mutual agreement, refer disputes to arbitration under the Arbitration and Conciliation Act, 1996.
17. Changes to these terms
We may modify these Terms at any time. Changes take effect when posted on this page with an updated date, and continued use of the website means you accept the revised Terms.
18. Severability
If any provision of these Terms is held invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will stay in full force.
